SOFTWARE LICENSE Central Research Institute of Electric Power Industry ("CRIEPI") has developed and owns all title and rights in the software program(PDCS). During the term of this License and subject to the terms and conditions stated herein, CRIEPI grants to you a non-exclusive and non-transferable license to use PDCS. Article 1. PDCS PDCS shall mean the object code versions of the computer software program enclosed and the user documentation relating thereto. Article 2. License Grant 2.1 You shall have the right to install PDCS on single computer, for use by one user at a time on the computer. 2.2 You shall not have the right to copy PDCS (except through the installation process described in the previous paragraph), unless CRIEPI consents beforehand in writing. 2.3 You shall not have the right to sublicense PDCS or otherwise allow any third party to use PDCS. 2.4 PDCS shall be not made accessible through any computer network. 2.5 You agree that it will not reverse engineer, disassemble, or decompile PDCS nor take any other action designed to ascertain the source code of PDCS. 2.6 You shall not use PDCS to process data or perform calculations/analysis for any third party, with or without fee or compensation. 2.7 Except for the license rights expressly provided for herein, CRIEPI shall retain all ownership, intellectual property, and other proprietary rights relating to PDCS. Article 3. Limited Installation Support 3.1 CRIEPI shall make reasonable efforts to answer any questions that may arise during your initial installation of PDCS. CRIEPI shall have no obligation to correct any bugs or other defects in PDCS nor to issue any new releases of PDCS. Article 4. Term and Termination 4.1 If You breaches any of its obligations under this License, CRIEPI shall have the right to terminate this License effective immediately upon written notice to you. 4.2 Upon termination of this License for any reason, all of your rights under this License shall immediately be terminated. 4.3 Upon termination of this License for any reason, you shall immediately return to CRIEPI or destroy/delete all copies of PDCS in its possession, in accordance with the instructions of CRIEPI. Article 5. Acknowledgement Requirement If you wish to publish or otherwise publicly disclose any results obtained or realized, wholly or in part, from your use of PDCS hereunder, you shall acknowledge, in conspicuous language, that the results were obtained using PDCS and shall acknowledge CRIEPI as the owner of PDCS. Article 6. Warranty 6.1 PDCS IS PROVIDED BY CRIEPI "AS IS". NO WARRANTY IS PROVIDED BY CRIEPI IN CONNECTION WITH PDCS, AND CRIEPI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. 6.2 CRIEPI DOES NOT WARRANT THAT PDCS WILL PERFORM IN ACCORDANCE WITH YOUR REQUIREMENTS, THAT PDCS WILL BE FREE OF "BUGS", NOR THAT THE CALCULATIONS MADE BY PDCS WILL BE CORRECT AND FREE OF ERRORS. Article 7. Limitations of Liability 7.1 IN NO EVENT SHALL CRIEPI BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES IN CONNECTION WITH ANY CLAIM ARISING OUT OF THIS LICENSE, WHETHER THE CLAIM IS BASED ON BREACH OF CONTRACT, TORT, OR ANY OTHER LEGAL THEORY. 7.2 CRIEPI SHALL NOT BE RESPONSIBLE FOR ANY LOST PROFITS OR LOSS OF USE OF PDCS SUFFERED BY YOU OR ANY THIRD PARTY. Article 8. No Assignment/Successors and Assigns You shall have the right to assign any of its rights or obligations under this License to any third party without the prior written consent of CRIEPI.
